Change of Registered Office
Macaulay Capital PLC (AQSE:MCAP), which was formed to originate and manage corporate transactions, raise funds from third parties, invest its own funds alongside those of external investors and to manage its investment portfolio with the aim of maximising its value, announces that it has recently completed a related party transaction and changed its registered office address.
Re-charge of Operations Manager's time
It has been agreed by the board of Macaulay that the Company's operations manager will spend a proportion of his time working with a private business owned by David Horner and his wife. Under this agreement, the private business is to pay a monthly fee, equivalent to the pro-rata cost of the operations manager's employment to the Company, to Macaulay.
As David Horner is an associate of the private company, this transaction is deemed to be a related party transaction under the AQSE Rules. The directors of the Company (other than David Horner), having exercised reasonable care, skill and diligence, believe that the transaction is fair and reasonable as far as the shareholders of the Company are concerned.
Change of registered office
On 29 January 2023, the Company changed its registered office to Suite 8, Bridge House, Courtenay Street, Newton Abbot,
